Electronic End User License Agreement  ( EULA )

     THIS AGREEMENT  is  made  as of  the date of installation between  the
original purchaser of this software, hereinafter referred to as "Customer",
and the Author(s) of this software hereinafter referred to as "Licensor".

USE OF THE SOFTWARE. Customer may install the Software in a single location
on a hard  disk or other storage device; make copies  of the  Software  for
backup and archive purposes, provided  however that all such  copies  shall
contain the  copyright notice or other  legend which was contained  on  the
original and remain in compliance with the EULA.    This  software  is  NOT
FREEWARE nor in Public Domain.


NON-DISCLOSURE AGREEMENT.  Customer  expressly  undertakes  to  retain   in
confidence,  all  Licensed Materials  provided to Customer  by  Licensor or
their  distributor( s ) and all  software  licensed by Licensor, whether in
object or source form,  whether  printed or  machine readable or executable
and to  make no  use  of  said proprietary  Licensed Materials  or Licensed
Program other than in conjunction with the operation of the single computer
system for which  the software is licensed.  Customer agrees  that  neither
it, its employees, officers   or  directors  will  disclose  or   otherwise
make available  any   part of the Licensed Program  ( or Derivative  Work )
or  associated Licensed  Material to any  third party,  without  the  prior
written consent of Licensor. Customer's  obligation under this clause shall
survive any termination  or expiration  of  this Agreement and shall extend
to the earlier of such time as the information protected hereby is properly
in the public domain  or twenty-five(25) years following the termination or
expiration of this  Agreement.   It is agreed, however,  that  the Customer
may make copies of the Licensed Program(s) for backup and archive purposes,
provided however that all such copies shall contain the copyright notice or
other legend which was contained on the original.


RESTRICTIONS. Customer must maintain all copyright notices on all copies of
the SOFTWARE PRODUCT.  Customer may not distribute copies  of the  SOFTWARE
PRODUCT to third parties. Customer  may not reverse engineer, decompile, or
disassemble the  SOFTWARE PRODUCT, except  and only to the extent that such
activity  is  expressly  permitted by  applicable law notwithstanding  this
limitation.  Customer  may not rent or lease the SOFTWARE PRODUCT. Customer
may  permanently transfer  all rights  under this  EULA only in conjunction
with a permanent transfer of your  validly  licensed  copy.  Customer  must
comply with all applicable laws  regarding the use of the SOFTWARE PRODUCT.
The  use  of unlicensed copies  of this  program by any  person,  business,
corporation, government agency or any other entity is strictly  prohibited.
A  single  user license permits a user to use this program only on a single
computer.  Licensed users may use the program  on different  computers, but
may not use the program on more than one computer at the same time.


DELIVERABLES AND MAINTENANCE.  In consideration  of  your  payment  of  the
License  fee  recited on  the Order, you shall receive (i) one  copy of the
Software shown on the Order, and (ii) the right to use the Software and the
Documentation  according  to the terms of this Agreement during the Term of
this  Agreement.  If you  purchase  maintenance  for the Software, Licensor
will: (i) disclose to you solutions to any problem  relating to Software as
such  solutions  become known  to and published by  Licensor,  ( ii )  make
reasonable efforts to correct material problems that  Licensor diagnoses in
Software, (iii) provide to you those enhancements to Software that Licensor
elects to incorporate into and make a  part of Software  and that  Licensor
does not intend to market separately; and (iv) provide electronic   support
for the use and maintenance of Software.


TERMS OF THE LICENSE.  This Agreement and license are  effective  from  the
date  of  receipt and  shall remain in force for a term of twenty-five (25)
years unless terminated earlier as provided in this Agreement. The Customer
may terminate this Agreement and license  by  destroying all  complete  and
partial  copies of  the Licensed Program(s) in its possession. The Licensor
may  terminate this  Agreement  at any  time.   Termination  by Customer or
Licensor shall  not result in the refund of any portion of the payment made
(or to be made ) by Customer under this Agreement. Licensor may term innate
the license hereunder if the Customer fails to observe any of the terms and
conditions of this Agreement. In the event of such termination,the Customer
will certify in writing that to the best of its knowledge, the original and
all  copies of the Licensed Program(s) or Derivative Works and all Licensed
Materials have been destroyed or returned to Licensor.

THIS SOFTWARE AND MANUAL ARE SUPPLIED "AS IS".THE AUTHOR(S)HEREBY DISCLAIMS
ALL  WARRANTIES RELATING  TO THIS  SOFTWARE  AND  ITS  DOCUMENTATION  FILE,
EXPRESSED OR IMPLIED,  INCLUDING  BUT NOT  LIMITED  TO  DAMAGE TO HARDWARE,
SOFTWARE AND/OR DATA FROM USE OF THIS PRODUCT. THE AUTHOR(S) DO NOT WARRANT
OR MAKE ANY REPRESENTATIONS REGARDING THE USE OR THE RESULTS OF THE USE  OF
THE  SOFTWARE  OR  ANY  DOCUMENTATION PROVIDED  HEREWITH  IN TERMS OF THEIR
CORRECTNESS, ACCURACY, RELIABILITY,  OR  OTHERWISE.    NO  ORAL  OR WRITTEN
INFORMATION  OR  ADVICE   GIVEN  BY   THE   AUTHOR( S )  OR  AN  AUTHORIZED
REPRESENTATIVE  SHALL CREATE A WARRANTY OR IN ANY WAY INCREASE THE SCOPE OF
THIS WARRANTY.   THE AUTHOR(S)  HEREBY DISCLAIM LIABILITY FOR CONSEQUENTIAL
DAMAGES. IN NO EVENT SHALL THE AUTHOR(S) OR THEIR SUPPLIER(S) BE LIABLE FOR
ANY  SPECIAL,  INCIDENTAL,  INDIRECT, OR  CONSEQUENTIAL  DAMAGES WHATSOEVER
(INCLUDING,  WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, INTERRUPTION,
LOSS   OF  INFORMATION,  INCLUDING   PROPERTY    DAMAGE,  PERSONAL  INJURY,
INTELLECTUAL PROPERTY INFRINGEMENT OR ANY OTHER PECUNIARY LOSS) ARISING OUT
OF THE USE OF OR INABILITY TO USE THIS SOFTWARE PRODUCT, EVEN IF ADVISED OF
THE POSSIBILITY OF SUCH DAMAGES.   IN NO  EVENT SHALL THE AUTHOR(S) OF THIS
SOFTWARE BE LIABLE TO YOU OR ANY OTHER PARTY FOR ANY DAMAGES. 

DUE TO THE NATURE OF  EVOLVING  PROGRAMMING AND THE  VARIOUS  HARDWARE  AND
SOFTWARE ENVIRONMENTS  IN WHICH THIS SOFTWARE MAY BE USED, IT IS UNDERSTOOD
THAT OCCASIONAL "BUGS" OR UNFITNESS MAY ARISE.  THE USER SHOULD ALWAYS TEST
THIS SOFTWARE THOROUGHLY WITH NON-CRITICAL DATA BEFORE RELYING ON IT.

BY USING THIS  SOFTWARE YOU  ACKNOWLEDGE  THAT YOU  HAVE READ  THE  LICENSE
AGREEMENT,UNDERSTAND IT,AND AGREE TO BE BOUND BY ITS' TERMS AND CONDITIONS. 
YOU  ALSO  AGREE THAT THE AGREEMENT IS THE COMPLETE AND EXCLUSIVE STATEMENT 
OF AGREEMENT  BETWEEN  THE  PARTIES   AND  SUPERSEDE ALL PROPOSALS OR PRIOR
AGREEMENTS,  ORAL OR  WRITTEN, AND  ANY OTHER  COMMUNICATIONS  BETWEEN  THE
PARTIES RELATING TO THE SUBJECT MATTER OF THE SOFTWARE AND DOCUMENTATION.
